of Organization
For
We, the undersigned, in
order to form an organization for the purpose stated, under and pursuant to the
provisions of Section 501 (c) (3) of the Internal Revenue Code, do hereby
certify as follows:
FIRST:
The name of this organization is:
“North Pulaski High School --
Northwood Middle School Band Boosters”
SECOND:
The nature of the organization and the objects or purposes proposed to be
transacted, promoted or carried on by it, are as follows, to-wit:
(a)
Support the efforts of the North Pulaski High School Band, the Northwood
Middle School Bands, its directors and members.
(b)
To provide financial support through sales of goods from the concession
stands, annual projects and other sources of financial assistance.
(c)
To borrow money in such amount, for such times and upon such terms and
occasions as is deemed wise and expedient.
(d)
To enter into, make and perform agreements with any person, firm or
association to meet the requirements of the organization.
THIRD:
The period of existence of this organization shall be perpetual.
FORTH:
The principal place of business of this organization shall be located in
the North Pulaski High School Band Room, 718 Harris Road, County of Pulaski, in
the City of Jacksonville, AR.
FIFTH:
The name of the agent of this organization shall be designated as the
incumbent Band Director, whose address is designated in FOUR above.
SIXTH:
The Executive Board of this organization shall adopt such By-Laws, as
they deem appropriate, not contrary to any law, for the conduct of this
organization.
SEVENTH:
No part of the net earnings of the organization shall insure to the
benefit of, or be distributable to its members, trustees, officers, or other
private persons, except that the organization shall be authorized and empowered
to pay reasonable compensation for services rendered and to make payments and
distributions in furtherance of the purposes set forth.
No substantial part of the activities of the organization shall be the
caring on of propaganda or otherwise attempting to influence legislation, and
the organization shall not participate in, or intervene in (including the
publishing or distribution of statements) any political campaign on behalf of
any candidate for public office. Notwithstanding
any other provision of these articles, the organization shall not carry on any
other activities not permitted to be carried on (a) by an organization exempt
from Federal Income Tax under section 501 (c) (3) of the Internal Revenue Code
of 1954 (or the corresponding provision of any future United States Internal
Revenue Law) or (b) by an organization, contributions to which are deductible
under section 170 (c) (2) of the Internal Revenue Code of 1954 (or the
corresponding provision of any future United States Internal Revenue Law).
EIGHTH:
Upon the dissolution of the organization, the Executive Board shall,
after paying or making provisions for the payment of all of the liabilities of
the organization dispose of all the assets of the organization exclusively for
the purpose of the organization in such a manner, or to such organization(s)
organized and operated exclusively for charitable, educational, religious, or
scientific purposes as shall at the time qualify as an exempt organization (s)
under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the
corresponding provision of any future United States Internal Revenue Law) as the
Executive Board shall determine. Any
such assets not so disposed of shall be disposed of by the Court of Common Pleas
of the county in which the principal office of the organization is then located,
exclusively for such purposes or to such organization(s) as said Court shall
determine, which are organized and operated exclusively for such purposes.
NINTH:
The association is organized and operated exclusively for charitable and
educational purposes and to support by funding the efforts of the North Pulaski
High School Band and no part insures to the benefit of any private shareholder
or individual.
TENTH:
Membership of the North Pulaski – Northwood Band Boosters shall consist
of the parents of all band students, band students, band director, and any other
interested party.
By-Laws
of
North
Pulaski High School – Northwood Middle School Band Boosters
The name of this organization shall be the North Pulaski – Northwood
Band Boosters.
The purpose of this organization shall be to aid the administration in
support of the bands financially, to lend moral support, and to arouse public
interest.
SECTION 1:
The monthly meeting of the Band Boosters for conducting a business
meeting will be held in the North Pulaski High School Band Room, the Northwood
Middle School Band Room or place designated by the President of the organization
on the second Monday of each month.
SECTION 2:
Special meetings of the Executive Board may be held upon the call of the
President. The time and place will
be announced prior to the scheduled meeting.
SECTION 3:
Special committees shall be appointed by the club president as needed and
shall consist of three persons.
SECTION 4:
Meetings of the parents shall be presided over by the President of the
organization, or such officer as may be named for the purpose, or if no such
officer is present, a chairperson can be elected at the meeting.
The secretary of the organization shall act as secretary of such
meetings.
SECTION 5:
The affairs of this organization shall be managed by the Executive Board,
which will consist of a President, High School Vice-President, Middle School
Vice President, Secretary, Treasurer, and incumbent Band Directors.
A majority of the Board shall constitute a quorum for the transaction of
all business. Vacancies on the
Board, however arising may be filled by the Board at any meeting, or if not
filled by the Board may be filled at a meeting of the band boosters.
Any of the board may be removed for cause by vote of the boosters of the
organization.
SECTION 6:
An officer shall not serve more than two school years in any given
position, unless requested by the Band Directors and approved by a majority vote
of the Booster Club. Election of
the executive board will take place during the month of May of each year for the
following school year.
SECTION 7:
The executive board is authorized to select such depositories as they
shall deem proper for the funds of the organization, or may authorize the proper
officers to do so. All checks
and/or drafts against such deposited funds shall be signed by at least two
officers to be specifically named by the board.
SECTION 8:
Duties and responsibilities of each position will be attached to these
By-Laws.
SECTION 9:
These By-Laws may at any time be amended or added to or any part thereof
repealed by affirmative vote of a majority of the Executive Board given at a
duly convened meeting of the Board and Boosters.
SECTION 2: The duty of the High School Vice President shall be to
preside in the absence of the President and to help and advise the President.
The High School vice President will appoint and serve as chairman of the
high school telephone committee; maintain contact with the Middle School vice
President; recruit and contact workers for the 9th grade football
game concession stand and any other event requiring concessions.
The High School Vice President must have a student in the high school
band.
SECTION 3: The duty of the Middle School Vice President shall be to
appoint and serve as chairman of the middle school telephone committee; maintain
contact with the High School vice President; recruit and contact workers for the
high school football game concession stand and any other event requiring
concessions. The Middle School Vice
President must have a student in the middle school band.
SECTION 4: The duties of the Secretary shall be to keep a record of all
meetings of the NP—NW Band Boosters; take charge of all correspondence; write
and send “Thank You” notes, as needed.
The Secretary may have a student in either the high school or middle
school band.
SECTION 5: The Treasurer shall care for all funds of the organization;
deposit funds and maintain bank accounts of monies received in such banks as the
Board may direct; keep books,
giving a full and accurate account of monies received and paid by this
organization; exhibit books and records to the organization and board as
requested; receive and give receipts for moneys due and payable to the
organization; render statements of the condition of finances at all regular
meetings, and a full annual report at the close of the school year; advise the
organization and Board in regard to financial matters; shall sign with one other
designated officer, all money transactions involving accounts payable; secure
change for the concession stand. The
Treasurer must have a student in the high school band.
SECTION 6: The High School Band Director shall, as Agent, coordinate all
requirements for assistance to the organization. (Monies, purchases, instruments, instrument repair, bus
monitors, etc.); is authorized to make purchases for the use of the North
Pulaski High School and/or Northwood Middle School Bnads.
Those purchases to be limited to $200.00 each purchase.
The Board must approve items over the limited amount; is authorized to
serve as coordinator of money making projects and to insure that all monies are
turned over to the organization’s treasurer for prompt deposit; insures that
all bills are presented to the Treasurer for immediate payment.
SECTION 1: The Executive committee shall consist of regularly elected
officers and the Band Directors. Any
band booster member may sit in on meetings, voting to be confined to official
members of the executive committee as listed above.
SECTION 2: The Publicity Chairman shall be in charge of all publicity;
radio, television and newspaper media; video taping, or securing someone to
video tape, band members during performances or other times for the purpose of
obtaining footage for the Video Yearbook.
SECTION 3: The Transportation Chairman shall assure the equipment
trailer is ready for transportation of band instruments before each use; select
drivers; assist the band directors in the supervision of the student loading
crew; will assure first aid kits are available.
SECTION 4:
The
Chaperone Chairman will prepare a chart for persons to sign-up who are willing
to act as a chaperone; will maintain a current (and reserve) list of persons who
have signed up to chaperone; will remind chaperones of times they have
committed.
SECTION
5:
The Concessions Chairman shall prepare the concession stand for each
event; purchase adequate supplies and food; oversee and train workers for
efficiency and safety; assure health codes are followed; turn over all monies to
the Treasurer.
